Minutes of the Annual Membership Meeting

Hyatt Scottsdale Resort & Spa at Gainey Ranch

October 21, 2008

 

The meeting was opened by President Gus Palmar at 8:00 AM.

 

Executive Secretary, John Lynch advised the Membership that the Board of Directors was recommending and nominating for approval the following changes to the Board for the year 2009:

 

NEW BOARD MEMBERS:

 

            Leon Daggs, Hub City Ford, Inc. Crestview, Florida

            Malcolm Cunningham, Malcolm Cunningham Ford, Inc. Decatur, Georgia

           

EXTENDED BOARD TERM:

 

            John Bearce---Extend for another three year term

            Gus Palmar---Extend for another three year term

            Art Silva---Extend for another three year term

           

NEW OFFICER RECOMMENDATIONS:

 

            President  Al Meyer

            Vice President  Mike Collins, Sr.

            Vice President  Irving Matthews

            Secretary-Treasurer Brad Webb

 

The members present unanimously approved and ratified the aforementioned slate of Officers& Directors.

 

President Gus Palmar welcomed the new Board Members. He then introduced Al Meyer as the new President. Mr. Palmar addressed the membership, thanking them for giving him the opportunity to lead the organization and preside over the 2008 meeting. Mr. Palmar also thanked outgoing Directors Bob Beine and Mickey Bowers for their service as a member of the Board.

 

The Executive Secretary, John Lynch, reviewed the financial condition of the Association as of September 30, 2008, and the financial forecast as of year end 2008. Lynch advised that to date paid membership was 97, and meeting attendance was 50 Dealers. Whereas at the present time the financial condition of the Association was sound, membership and meeting attendance had decreased dramatically versus 2007. The increase in dues for 2008 certainly helped to cover some of the increase in operating costs, however it was critical that membership and attendance at the annual meeting be increased for the coming year.

 

Lynch indicated that total Sponsor Income had increased slightly ($5,000) with the addition of two new sponsors JMSolutions and Sheppard Mullin, LLP Inc., UHY, Inc., ADP, Inc., Arkona, Inc., Shutts & Bowen, LLP and Employee Relations, Inc., however the Association had lost three sponsors Employee Relations, Inc., One View, Inc. and Tetra Tech EM, Inc. He advised the Board will continue to seek additional new sponsors in 2009.

 

Questions and comments were then solicited from the floor. Members were requested to talk to and encourage their fellow DD dealers about membership and annual meeting attendance. It was further suggested that spouses become more involved by attending the business sessions, that dealers review the list of vendors they provide business to and recommend potential sponsors to the Board and that the Board consider inviting all Ford and Lincoln Mercury dealers to the annual meetings (even those who were not affiliated with Dealer Development) to share best practices.

 

It was further suggested that the Association recognize dealers who had been elected to the Automotive Hall of Fame and that the business sessions include more opportunity to exchange ideas. Lynch advised that recognition of Hall of Fame Award winners and recipients of other prestigious awards has been done in the past, but sometimes it was necessary to make the Board aware of these occurrences so that this information could be shared with the membership. The DD Graduate & Undergraduate Dealer panel session conducted in 2007 was so well received another session will be held later this morning.

 

Vice President Mike Collins recommended using the DD website to set up a dealer "blog" where DD dealers could submit questions and get responses from dealers across the country. This idea will be pursued with the DD Alumni Webmaster and developed in the near future.

 

There being no further business to discuss, the meeting was adjourned at 8:25 AM.
